5. Intellectual Property Rights

6. Ordering, Pricing, and Payment Terms
6.1 Order Placement
When you place an order through our Site, you are making an offer to purchase our products subject to these Terms. All orders are subject to acceptance by Pequod's Pizza. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, errors in product or pricing information, or suspected fraud.

6.2 Pricing

We reserve the right to change prices at any time without prior notice. In the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price and will notify you accordingly.

7. Delivery Terms
Delivery availability, areas, minimum order amounts, and delivery fees are subject to change and may vary. Estimated delivery times are provided as a courtesy and are not guaranteed. Factors including but not limited to weather conditions, high order volumes, and traffic may affect delivery times.
Pequod's Pizza shall not be liable for any delays in delivery beyond our reasonable control. Risk of loss and title for all food items pass to you upon delivery to the address specified in your order. If you are not present to receive your delivery, the driver may leave the order at the door at their discretion, and we will not be responsible for any resulting loss, theft, or damage.
8. Disclaimers and "As-Is" Basis
YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
NEITHER PEQUOD'S PIZZA NOR ANY PERSON ASSOCIATED WITH PEQUOD'S PIZZA MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE. WITHOUT LIMITING THE FOREGOING, NEITHER PEQUOD'S PIZZA NOR ANYONE ASSOCIATED WITH PEQUOD'S PIZZA REPRESENTS OR WARRANTS THAT:
- THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED;
- DEFECTS WILL BE CORRECTED;
- THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, PEQUOD'S PIZZA HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Food descriptions, images, and nutritional information on our Site are provided for general informational purposes only and may not precisely reflect the actual product you receive. Menu items are subject to change without notice. We make no guarantees regarding the exact appearance, size, or composition of any food item.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PEQUOD'S PIZZA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Site or our services;
- Any conduct or content of any third party on the Site;
- Any content obtained from the Site;
- Unauthorized access, use, or alteration of your transmissions or content;
- Delays or interruptions in our services;
- Any food-related illness, allergic reaction, or health condition arising from consumption of our products, to the extent permitted by applicable law.
IN NO EVENT SHALL THE TOTAL LIABILITY OF PEQUOD'S PIZZA TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PEQUOD'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
THE LIMITATION OF LIABILITY SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN PEQUOD'S PIZZA AND YOU. THE SITE AND SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
10. Indemnification
You agree to defend, indemnify, and hold harmless Pequod's Pizza, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service;
- Your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms of Service;
- Your use of any information obtained from the Site;
- Any misrepresentation made by you;
- Your violation of any applicable federal, state, or local laws, regulations, or rules;
- Any claims by third parties arising from your actions or omissions in connection with your use of our services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Pequod's Pizza.
11. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pequod's Pizza operates, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any other jurisdiction.
Any legal suit, action, or proceeding arising out of or related to these Terms of Service or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the applicable state, and each party irrevocably submits to the personal jurisdiction of such courts in any such suit, action, or proceeding.
Our services are subject to applicable federal consumer protection laws, including the Federal Trade Commission Act (FTC Act), as enforced by the Federal Trade Commission (FTC). If you are a resident of the State of California, your rights may also be governed by the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and the California Unfair Competition Law (UCL), among other applicable California statutes.
You and Pequod's Pizza waive any right to a jury trial in any proceeding arising out of or related to these Terms or your use of our services, to the fullest extent permitted by applicable law.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact Pequod's Pizza at [email protected] and attempt to resolve the dispute informally. We will use good faith efforts to resolve the matter within thirty (30) days of receiving your written notice. If the dispute cannot be resolved informally within that period, either party may proceed to formal dispute resolution as described below.
12.2 Binding Arbitration
Except for disputes that qualify for small claims court, any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof ("Dispute") shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding on both parties.
The arbitrator shall have authority to award any remedy available at law or in equity. Judgment upon any arbitration award may be entered in any court of competent jurisdiction. The costs of arbitration, including the arbitrator's fees, shall be allocated as determined by the arbitrator in accordance with applicable AAA rules.

12.4 Exception for Small Claims
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction, provided that the action remains in small claims court and proceeds only on an individual (non-class, non-representative) basis.

Pequod's Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic or pandemic, acts of terrorism, government actions, labor disputes, power failures, internet outages, or supply chain disruptions. In such events, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.
